Bill Walker serves as corporate and transactional counsel to a wide variety of companies. Mergers and Acquisitions: Negotiation and facilitation of a broad range of asset and stock acquisitions, mergers, reorganizations, and divestitures, including private equity and real estate transactions.
Finance Transactions: Representation of banks and other senior and mezzanine lenders in a wide variety of middle market commercial finance and secured loan transactions, including acting as lead attorney in syndicated loans to public and private borrowers, asset-based and cash flow loans, floor-plan loans, aircraft financing, SBA loans, and workouts.
Health Care: Representation of dozens of medical practices and other health care professionals and related health care entities, including advising such companies on HIPAA, Stark, Fraud & Abuse and similar laws and regulations.
Entity Selection and Formation: Guided entrepreneurs in the formation and financing of hundreds of new entities of all types, several of which have developed into upper middle market national and international enterprises. Bill has also established and advised a variety of not-for-profit organizations.
Contracts: Negotiation and documentation of virtually every kind of agreement including, employment and non-compete agreements, real and personal property leases, domestic and international distribution and agency agreements, confidentiality and licensing arrangements.
