Overview

Tom McCauley practiced law with his initial partnership until 1995, when he became a Partner at Nisen & Elliott. Mr. McCauley provides general corporate and transactional counsel to a wide variety of businesses. He assists financial institutions in commercial financing transactions. He also currently serves as a Commissioner on the Illinois Racing Board.

Tom’s representative services have included:

Contracts
Review, negotiation and documentation of almost all types of agreements required by businesses and individuals, including but not limited to entity formation agreements; partnership, LLC and shareholder agreements; buy-sell agreements; supply agreements; distribution agreements; confidentiality, non-solicitation and non-compete agreements; leases and various other real estate agreements.

Entity Formation
Provision of information and assistance in selection of most suitable entity for clients’ new or expanded businesses, including guidance as to such factors as entity governance, equity preferences and restrictions, tax consequences, etc.

Mergers and Acquisitions
Legal counseling from start to finish in numerous sale and purchase transactions, including stock and assets sales and purchases, corporate reorganizations, private equity transactions and employee stock ownership plans.

Finance
Legal representation of banks and other lenders in commercial finance transactions, including income based and asset based loans.

Real Estate
Numerous sales and purchases of commercial, institutional and residential properties, as well as real estate secured loans and commercial leases.

Construction Law
Negotiation and creation of a wide variety of contracts involving representation of owners, tenants, architects, contractors, construction managers and sub-contractors. Interpretation of construction contracts, advice in construction disputes, and payment collection via mechanics liens and other means.

Gaming Law
Provision of general legal services and regulatory compliance counsel to owners and operators of horse racing tracks in Illinois, Indiana, Massachusetts and Florida, including frequent appearances before regulatory bodies, drafting legislation and negotiation and preparation of long-term vendor contracts.

Finally, in addition to the skills employed in a lengthy and successful traditional legal practice, Tom has garnered much useful experience from serving as a director on various corporate and condominium boards, as Village Trustee in his home town, as Chairman of the Board of his alma mater, and as a Member of the Illinois Racing Board. Tom also taught Business Law at DePaul University and Legal Research and Writing at Loyola University. Such service has enhanced his talent to determine and order priorities, discern and weigh disparate points of view, and advocate clients’ positions to obtain for them the most effective results.
